Annual tax filing regulations for foreign-invested enterprises (FDI) in Vietnam

    Compliance with tax obligations is a critical factor for every business, especially for foreign-invested enterprises (FDIs) operating in Vietnam. Timely and accurate tax declaration and payment not only ensure lawful operation but also reflect the professionalism and transparency of a company in the eyes of regulators and business partners. Below are the essential regulations and key considerations for annual tax filing applicable to FDI enterprises in Vietnam.

    1. Types of taxes required for annual filing by FDI enterprises

    FDI enterprises in Vietnam must declare and pay the following types of taxes:

    2. Corporate income tax (CIT) filing process

    • Quarterly provisional payment: Enterprises must estimate profits and make quarterly CIT payments. The total amount paid throughout the year must be at least 80% of the final annual CIT payable.
    • Annual finalization:
      • Declaration form: Form 03/TNDN.
      • Must include audited financial statements (mandatory for FDIs).
      • Deadline: March 31 of the following fiscal year.

    Note: Underpayment may result in late payment penalties, tax arrears, and affect the company’s credibility.

    3. Value-Added Tax (VAT) Regulations

    • VAT is typically declared using the credit method (applied to most FDI enterprises).
    • Use Form 01/GTGT – filed monthly or quarterly based on revenue scale.
    • Input invoices must be valid to be eligible for VAT credit.

    Note: Companies dealing with foreign suppliers should also account for Foreign Contractor Tax (FCT) and corresponding VAT on imported services.

    4. Personal income tax (PIT)

    • Enterprises are required to withhold and pay PIT on behalf of their employees.
    • Annual PIT finalization is done using Form 05/QTT-TNCN for all employees.
    • For foreign employees, residency status must be checked to determine applicable tax rates and personal deductions.

    • Their managing Tax Department
    • Department of Planning and Investment (DPI) where the business is registered
    • Provincial/City Statistics Office

    If the enterprise has:

    • Transactions with related parties (parent/subsidiary companies or parties holding ≥ 25% ownership), or
    • Transactions with companies within the same international group

    => It must submit transfer pricing documentation under Circular 41/2017/TT-BTC, including:

    • Form 01: Related Party Disclosure
    • Form 02: Arm’s Length Pricing Declaration
    • Country-by-Country Report (if part of a multinational group)
