Can foreigners become legal representatives in Vietnam? Key regulations and important notes

During the process of establishing and operating a business in Vietnam, the “legal representative” is a mandatory position responsible before the law for all activities of the company. Many foreign investors ask: Can a foreigner be listed as the legal representative of a company in Vietnam?
The answer is yes, but it requires compliance with certain conditions and specific regulations.
1. Are foreigners allowed to be legal representatives in Vietnam?
Yes. Vietnamese law does not restrict nationality for legal representatives. Foreigners can fully hold this position in wholly foreign-owned enterprises or Vietnamese companies with foreign investment.
However, they must ensure:
- A valid residential address in Vietnam
- A work permit or exemption from a work permit (depending on the case)
- A managerial title in the company as stated in the charter and business registration

2. Conditions on residence and presence in Vietnam
Although permitted, the legal representative must be legally and regularly present in Vietnam to perform management obligations.
If the legal representative does not reside in Vietnam, the company must:
- Appoint a second legal representative residing in Vietnam, or
- Provide written authorization for another individual to take responsibility during their absence
Violation of residency obligations may result in penalties or legal risks when working with authorities, banks, and tax agencies.
3. Work permits for foreign legal representatives
Foreigners acting as legal representatives usually fall under the category of “managers,” therefore they need to:
- Apply for a Work Permit, or
- Prove exemption from a Work Permit if they are investors contributing capital at a certain percentage
Lack of proper labor documentation may lead to penalties, entry restrictions, or revocation of business registration.

4. Legal responsibilities of the legal representative
The legal representative is responsible before the law for:
- Operational decisions made on behalf of the company
- Performing tax obligations and financial reporting
- Signing contracts and transactions
- Complying with safety, business conditions, and labor regulations
The legal representative may face civil or criminal liability if the company violates the law.

5. When should (or should not) a foreigner serve as the legal representative?
Suitable when:
- The investor wants direct control over the company
- They regularly reside in Vietnam
- They understand local law and business operations
Not suitable when:
- The investor is not often present in Vietnam
- The business requires quick legal processing (tax, banking, licensing)
- There is a lack of legal support staff locally
In such cases, it is advisable to appoint a Vietnamese individual or a trusted partner as the legal representative, while the foreign investor remains Chairman of the Board or CEO to oversee strategy.

Foreigners can fully become legal representatives in Vietnam, but they must ensure lawful residency, proper work permit status, and a clear understanding of their legal responsibilities. In many cases, having an additional Vietnamese legal representative or an operational team on the ground helps businesses operate more effectively and reduces legal risks.
