Establishing a Company in Da Nang Software Park: The “Silicon Valley” of Southeast Asia
Content
As part of Vietnam’s strategy to develop the digital economy and high-tech industries, Da Nang Software Park (DNSP) is being positioned as a key technology hub, bringing together IT enterprises, innovation-driven businesses, and digital services in the region. With a wide range of outstanding incentive policies, DNSP is often referred to as an emerging “Silicon Valley” of Southeast Asia.
From a legal and accounting - tax advisory perspective, this article analyzes why DNSP is an attractive destination for company establishment, as well as the practical issues businesses should consider when operating there.
1. What is Da Nang Software Park and why is it compared to “Silicon Valley”?
Da Nang Software Park is a concentrated IT zone invested in and developed by the Da Nang People’s Committee, with the following orientations:
- Attracting high-tech enterprises in software, AI, fintech, blockchain, gaming, and BPO
- Building an ecosystem for innovation, startups, and R&D
- Connecting domestic enterprises with international markets
Beyond its modern technological infrastructure, DNSP is highly regarded for its investment incentive mechanisms, relatively “open” legal environment, and competitive operating costs creating a solid foundation for rapid and sustainable growth of technology companies.

2. Which businesses are suitable for establishment in Da Nang Software Park?
In practice, DNSP is not intended for all types of businesses, but focuses on specific sectors, including:
- Software development, applications, and digital platforms
- IT services and software outsourcing
- R&D centers, AI, big data, and cybersecurity
- Fintech, e-commerce, gaming, and digital content
- Technology startups and innovation-driven enterprises
Businesses outside the IT sector may not be approved to locate their headquarters at DNSP or may not be entitled to incentives when registering operations there.
3. Incentives for establishing a company in Da Nang Software Park
3.1. Tax incentives
Eligible enterprises operating in concentrated IT zones may be considered for:
- Corporate income tax (CIT) incentives for a certain period
- Preferential tax rates lower than the standard CIT rate
- Tax exemptions or reductions during the initial years of operation (depending on specific projects and conditions)
These incentives are not automatic and require full compliance with legal criteria and registration procedures.
3.2. Infrastructure and operating cost incentives
- Integrated office space, data centers, and IT infrastructure
- Significantly lower rental costs compared to Ho Chi Minh City or Hanoi
- Support in connecting with the technology ecosystem, startups, and investment funds
This is a major advantage for early-stage tech companies or foreign enterprises seeking to “test the market” in Vietnam.
4. Procedures for establishing a company in Da Nang Software Park
In principle, enterprises must still complete all standard legal procedures for company establishment, including:
- Enterprise registration (Enterprise Registration Certificate - ERC)
- Initial tax registration, e-invoice registration, and bank account opening
- Fulfillment of post-establishment accounting and tax obligations
However, key differences arise in the registration of business location and business lines, specifically:
- Registered business activities must align with DNSP’s IT-oriented development goals
- Enterprises may be required to explain their business model and products/services
- In some cases, approval from the Management Board or relevant specialized authorities is required
If business lines are not clearly defined or aligned, enterprises may be denied incentives even if they are legally established.

5. Legal risks businesses should be aware of
In practice, we encounter many cases where:
- Enterprises locate their headquarters at DNSP but do not qualify for tax incentives
- Business lines registered as “IT-related” are excluded by tax authorities
- Failure to separate incentivized and non-incentivized revenue
- Misapplication of incentive policies leads to tax reassessment and penalties
The primary cause is the misconception that “being located at DNSP automatically entitles the company to incentives.”
6. Recommendations from a legal and accounting advisory firm
To fully and properly leverage the advantages of establishing a company at Da Nang Software Park, businesses should:
- Review business lines and operating models from the preparation stage
- Clearly define objectives: tax incentives, infrastructure benefits, or both
- Design legal and accounting structures aligned with incentive conditions
- Work with advisory firms experienced in IT and investment matters
Da Nang Software Park is gradually solidifying its position as a new regional technology hub, living up to expectations of becoming the “Silicon Valley” of Southeast Asia.
However, incentives only deliver real value when businesses understand and apply them correctly. Establishing a company at DNSP is not merely about choosing a location it is a comprehensive legal, tax, and long-term strategic decision.
